Terms & Conditions of Sale

1. Application
These Terms govern the sale by Neat Ideas to you of Products for which you place an order that is accepted by Neat Ideas. Note that Neat Ideas’ catalogues and websites are intended for business users only, and we reserve the right to refuse service and cancel orders to non-business customers. No other terms and conditions shall apply. Your acceptance of the Products shall be deemed to constitute acceptance of these Terms.

2. Orders
You can order anytime at www.neat-ideas.com or by phone on 0844 546 5000. Our lines are open Monday to Friday 7am to 7pm and Saturday 9am to 2pm. Although we aim to process all orders same day, if you order after 5pm or at the weekend please assume that delivery will be as if your order had been placed the next working day.

By placing an order you warrant that you are a business user. All orders placed by you are subject to acceptance by Neat Ideas. Neat Ideas reserves the right to revise prices, limit quantities, correct errors in its catalogue and refuse orders at its discretion including, without limitation, orders from distributors, dealers and warehouse stores, or orders in a size that are unlikely to be for business purposes.

If an error is discovered in the price of the goods that you have ordered, we will inform you as soon as possible. In the event that you order an item and the price published on the Site is incorrect for any reason, we will contact you upon discovery of the error to let you know the correct price and ask you whether you still wish us to fulfil your order at this price. We shall be under no obligation to fulfil an order for a product which was advertised at an incorrect price. Should we have fulfilled the order before discovering the error, we reserve the right to take back the goods and refund you the purchase price or charge you the correct amount.

Except as may otherwise be permitted by applicable law, you may not cancel an order which Neat Ideas has accepted without the agreement in writing of Neat Ideas, which requirement may be waived by Neat Ideas from time to time in its sole discretion. Prices are exclusive of VAT at 17.5% (subject to government alterations). Ownership and title remains with Neat Ideas until full payment for products has been received. Due to training requirements, phone calls may be monitored.

3. Delivery

Because we know how important it is to get the supplies you need, we aim (but do not guarantee) to deliver all orders the next working day, although certain items such as furniture may take longer (see below). Orders placed Monday to Thursday will be delivered the next working day. Orders received on Friday will be delivered the following Monday and orders placed at the weekend will be delivered the following Tuesday. Customers will be advised at time of order if this is the case. Neat Ideas cannot be held responsible for any consequential loss due to late or non-delivery.

Note that oversized or bulky items may require additional delivery time and some products are delivered to customers directly by the manufacturer and some manufacturers are unable to deliver outside of the UK mainland; Neat Ideas shall endeavour to inform you of extended delivery times at the time you place your order. In any case, Neat Ideas shall not be liable for any cost or damage caused by late or non-delivery of the Products. Any delay in delivery of the Products shall not give you a right to reject the Products or cancel your order. Neat Ideas reserves the right to deliver the Products in instalments.

Delivery times are between 7.00 am and 6.00 pm. We cannot specify an exact time when we will deliver. The delivery driver needs to obtain a signature for all parcels. If you are unavailable to accept delivery, your order may be left with a neighbour if they are willing to sign for it. Please note parcels cannot be left in porches, sheds etc. Most deliveries are attempted twice and the driver will leave a card stating when delivery will be re-attempted or if the parcel has been left with a neighbour, or if the parcel is available to be collected from your local Post Office. Please state when ordering the floor level of your delivery address if it is not at ground level. If you are a large organisation such as a council or hospital, the delivery driver’s obligation is to deliver to main reception, stores or post room only.

Delivery to the UK mainland is free on all orders over £30 (ex VAT). We aim (but do not guarantee) to deliver to the UK mainland the next working day after you placed your order (unless products ordered have a longer delivery time shown). If your postcode begins with AB (excluding AB10-16, 21, 24-25), JE, GY, IV1-3, IV28-45, KA27-28, PA20-40, PA41+, PH42-44, ZE1-3 or Northern Ireland, please allow 48-72 hours for delivery. If your postcode begins with HS1-9, IV27, IV4-26, 46-56, KW1-17, TR21-25, you will be advised at time of order. Additional carriage costs may also apply to these areas and you will be advised at time of order if this is the case. Please note we cannot deliver to PO Boxes or BFPO addresses.

Delivery to the UK mainland is free of charge on all orders of £30 (ex VAT) and above. Orders between £5 and £29.99 (ex VAT) will incur a small charge of £2.90 and for orders of £4.99 (ex VAT) or below a £3.95 delivery charge will be applied. Delivery is free of charge on orders of £120 (ex VAT) and above from Northern Ireland and offshore islands. Orders below this value will incur a delivery charge of £15. All orders from the Channel Islands will incur a delivery charge of £48. Additional delivery charges may apply to certain areas or depending on the size of your order. If this is the case, you will be advised at the time of order.

Timescales for furniture deliveries are shown for each range. Unfortunately we are unable to deliver and assemble furniture outside of the UK mainland. Please note that delivery days quoted are working days, and for some areas of Northern Scotland, the Scottish Highlands and the South-West delivery could take longer. Also additional carriage costs may apply to these areas. For further information on carriage costs or delivery timescales, please contact Customer Services on 0844 546 6000. Information regarding assembly services can be found on individual furniture ranges. Please note the use of an electric screwdriver for the assembly of chairs will void your guarantee.

4. Payment
Unless you are a Neat Ideas Credit Account Holder, you must pay for the Products at the time you place your order. If you are an account holder, please be aware that under the terms of the Late Payment of Commercial Debts (Interest) Act 1998, we are entitled to levy interest and a late payment compensation fee on overdue debts. Credit accounts are not available for first time orders.

If paying by credit card, Neat Ideas has chosen Ogone to provide PCI compliant secure payment services and the transaction will go through the Ogone website. No credit card information is provided to Neat Ideas and completion of the transaction will be subject to you agreeing to Ogone’s terms and conditions as a separate contractual relationship is created between you and Ogone for which Neat Ideas assumes no liability. If you require the goods to be delivered to an alternate address other than that which your credit card is registered to, we may need to verify your details before we can process your order. Neat Ideas reserves the right, by giving you notice at the time you place your order, to increase the price of the Products to reflect any increase in the cost to Neat Ideas which is due to any factor beyond its control.

5. Returns
Service Plus is a premium service which allows you to return unwanted items to us anytime within 12 months of purchase, for whatever reason. We will even collect the items free of charge. Just call 0844 546 6000 to arrange your free collection and full credit.

However, if you are returning unwanted items between 3 and 12 months since your order, that are not in an ‘as new’ condition suitable for resale, we reserve the right to charge a minimum restocking fee of £15 or 20% of the item’s selling price. Service Plus also allows you to return those products excluded from our standard policy such as laptops, selected business machines and software (provided they are unopened and unused only), however please note these must be returned within 7 days. Food and drink, made-to-order and personalised items are non-returnable at any time.

Service Plus is included on your order and a small nominal sum will be added to your invoice. Service Plus is an optional benefit; if you would prefer to just receive our basic returns service, please advise at time of ordering or follow the on-screen insructions in the checkout if ordering online.

If you choose not to take advantage of our Service Plus returns service, you can still return unwanted items within 30 days of delivery. If you contact us within 7 days we will collect the items free of charge and issue you a full credit. Thereafter the charge for collection is £3.50 (which will be deducted from the value of your credit) and the goods must be unused, complete, and in ‘as new’ condition and in their original and unmarked packaging (not resealed with brown tape).

Once the goods have been received back into our warehouse and their condition checked, you will receive a full credit for these items. If they are not in a suitable condition, we reserve the right to charge a minimum restocking fee of £15 or 20%. Certain goods are excluded from our standard returns policy such as food and drink items (which cannot be returned due to Health and Safety Regulations), laptops, opened software, made-to-order and personalised items and some business machines unless damaged or faulty. Just call our Customer Services Team on 0844 546 6000 to arrange collection. All credits exclude original delivery charges, if applicable.

6. Damaged, Missing or Faulty Items
If any items are damaged or missing from your order, please contact us within 3 working days of your delivery on 0844 546 6000.

If a technology product appears to be faulty, please call the manufacturer first (numbers here) to confirm the nature of your fault and obtain a fault acknowledgement reference from them. Please note we are unable to accept technology returns without this. Once you have the reference, please call us on 0844 546 6000 so we can arrange collection.

7. Warranty
Subject to the limitations on its liability set out in these Terms, Neat Ideas warrants that the Products will be free from defects in material and workmanship for a period of one year from the date of delivery. Neat Ideas shall be under no liability in respect of any defect arising from fair wear and tear, wilful damage, negligence, abnormal working conditions or misuse. If you notify Neat Ideas of a valid claim for a breach of this warranty within the one year period, Neat Ideas will replace or repair the Product or refund the price of the Product, at Neat Ideas' discretion, but Neat Ideas shall have no other liability to you. This warranty does not extend to Products not manufactured by Neat Ideas. For such Products you will be entitled to the benefit of the manufacturer's warranty or guarantee, if any. Legally, this clause only applies to business customers. Please note that the use of an electric screwdriver for the assembly of chairs will void your guarantee.

If a technology product develops a fault within 12 months of purchase from us, you will need to follow the manufacturer’s warranty instructions and call them first (telephone numbers here) to confirm the nature of your fault and obtain a fault acknowledgement reference from them. Please note we are unable to accept technology returns without this reference. Once you have the reference, please call us on 0844 546 6000 so we can arrange collection.

8. Liability

Nothing in these Terms shall exclude or limit Neat Ideas' liability for fraud or for death or personal injury caused by its negligence or any other liability to the extent that the same may not be excluded or limited as a matter of law. Without prejudice to the previous sentence, Neat Ideas shall not be liable for any loss of income or profits or for any indirect or consequential loss or damage of any kind howsoever arising and whether caused by the negligence of Neat Ideas, its breach or non-performance or any of its obligations under these Terms or otherwise. These Terms set out the full extent of Neat Ideas' obligations and liabilities in respect of the sale of the Products. In particular there are no conditions, warranties or other terms, expressed or implied, as to satisfactory quality, fitness for a particular purpose or of any other kind whatsoever, that are binding on Neat Ideas except as specifically stated in these Terms. Any condition, warranty or other term concerning the sale of the Products, which might otherwise be implied into or incorporated within these Terms, whether by statute, common law or otherwise, is excluded to the fullest extent permitted by law. If you are a consumer the exclusion of terms implied by law will not apply to you.

9. Data Protection
The personal information you provide to Neat Ideas consists of your name, your postal and e-mail addresses, other contact details as well as order, delivery and billing information; it will be maintained as part of our customer records for the purposes of credit checking, direct marketing, orders delivery and product purchase history. You may also receive news and marketing offers from other Neat Ideas companies and Neat Ideas' business partner vendors. This information will be stored, namely, on our centralised database in the United States. Neat Ideas may also need to make your records available to our professional advisors, such as lawyers, accountants, regulatory authorities or other governmental administrations. Most of these other parties will be located in the European Union, but others may be based, or have operations, out of the European Union, namely in the United States. Neat Ideas Inc. has certified that personally identifiable information is transferred to the United States in compliance with the " Safe Harbor" framework negotiated between the European Union and the United States pursuant to the EU's Directive on Data Protection. The Safe Harbor framework describes adequate data protection standards for the transfer, storage and processing of personally identifiable information transferred from EU countries to the United States. From time to time and for quality and efficiency purposes, we may also monitor phone calls directed to our call centres. You can contact Neat Ideas at Neat Ideas, Kirk Sandall Industrial Estate, Sandall Stones Road, Doncaster DN3 1QU at any time to see the information held about you and to ask us to make any necessary changes to remove or correct it - in which cases an official fee will be payable - or to object against any further use of your personal data by Neat Ideas for direct marketing purposes. Further information as to the right to protect your personal data is available from the Data Protection Registry in the United Kingdom. By entering into any agreement with Neat Ideas or providing Neat Ideas with personal data, you consent to the processing and transfer of such data in the manner and for the purposes described here above.

10. General
Neat Ideas shall not be liable to you for any loss or damage which you might suffer arising from Neat Ideas' delay in fulfilling or failure to fulfil any of its obligations under these Terms to the extent that such delay or failure is caused by any circumstance beyond Neat Ideas' reasonable control. If due to such circumstances or events Neat Ideas has insufficient stocks to meet all its orders, Neat Ideas may apportion available stocks between its customers at its sole discretion. These Terms and any terms appearing on any order form to which these Terms apply constitute the entire agreement between you and Neat Ideas relating to the Products. The failure of Neat Ideas or you to enforce any of these Terms does not constitute a waiver of that term and shall in no way affect the right later to enforce the term. The invalidity or unenforceability of any clause of these Terms shall not adversely affect the validity or enforceability of the remaining provisions. No amendment, variation or addition to these Terms shall be binding unless agreed to in writing by an authorised representative of Neat Ideas. Neat Ideas may transfer any contract with you concluded on these Terms or any of its rights or obligations under any such contract. These Terms will be construed in accordance with the laws of England and any disputes shall be settled by the English courts.

11. Defined Terms
" Neat Ideas " means Neat Ideas, whose head office is at Kirk Sandall Industrial Estate, Sandall Stones Road, Doncaster DN3 1QU, trading as Neat Ideas and www.neat-ideas.com. Neat Ideas is a division of SEC UK Delivery Ltd, registered in England number 2397362, VAT No. 697 8707 56. Registered office: White Rose House, 28a York Place, Leeds, LS1 2EZ. "Terms" means these terms and conditions of sale. "Products" means any products listed in this catalogue for which you place an order which is accepted by Neat Ideas. "You" means you, the customer. “Ogone” means the company Ogone SAS, a simplified company limited by shares (société par actions simplifié) with capital of €40,000.00 having its registered offices at 75009 Paris, 5 Rue de Rochechouart, France, registered in Paris number 435.236.898.

12. Price Match Guarantee
If you find a lower price, anywhere else on a new identical item, just show us the lower price within 14 days of your purchase and we'll match the price or refund the difference. The item must be identical, including quantity, model number, components and UK warranty. The item must be in stock and available for purchase at a lower price from the main range catalogue of an authorised UK business-to-business mail-order reseller, whose authorisation we reserve the right to verify. We don’t price match against items sold on auction sites or at local or special events (e.g., grand opening, anniversary or liquidation sales), contract prices, other companies’ web sites or typographical errors. If another company offers a product that comes with a free or discounted item and Neat Ideas does not carry the free or discounted item, we will only match the price you pay at the point of purchase and will not take the free or discounted item into account.

When we compare our prices, the equivalent delivery charges will be included. If the other company's delivery charges are not supplied, we will add £2.90 to the other company's price. We may limit the quantities of price–matched items. In addition, we reserve the right to limit quantities sold to a customer. This policy is subject to change without notice. Maximum total refunds £50 per customer.
